These Terms of Service ("Terms") govern your access to and use of the RPL TEK website, mobile applications, software platform, and related services (collectively, the "Platform"). By creating an account or using the Platform, you agree to these Terms. If you do not agree, you may not use the Platform.
1. About RPL TEK
RPL TEK is a cloud-based software platform built for the trucking, transportation, logistics, construction, and fleet management industries.
Depending on your subscription and enabled features, the Platform may provide:
- Fleet Management
- Dispatch Operations
- Transportation Brokerage
- GPS & Telematics
- Electronic Tickets (E-Tickets)
- Digital Proof of Delivery
- Driver Management
- Customer & Contractor Portals
- Driver Vehicle Inspection Reports (DVIR)
- Maintenance Tracking
- Digital Documents & Forms
- Electronic Signatures
- Invoicing & Reporting
- Mobile Applications
- API Integrations
- Other tools and services introduced by RPL TEK from time to time.
Where applicable, brokerage services offered by RPL TEK or its affiliated entities will be conducted in accordance with applicable Federal Motor Carrier Safety Administration (FMCSA), U.S. Department of Transportation (USDOT), and applicable federal, state, and local laws.
2. Eligibility
You represent that you:
- Are at least eighteen (18) years old.
- Have authority to enter into these Terms.
- Will use the Platform only for lawful business purposes.
- Will comply with all applicable federal, state, and local laws and regulations.
If you register on behalf of a business, you represent that you have authority to bind that business to these Terms.
3. User Accounts
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
You agree to:
- Provide accurate information.
- Keep your account information current.
- Protect your username and password.
- Notify RPL TEK promptly of any unauthorized access.
Business account administrators are responsible for managing employee, driver, dispatcher, mechanic, and contractor access to the Platform.
4. Acceptable Use
You agree not to:
- Violate any applicable law or regulation.
- Submit false or misleading information.
- Access another user's account without authorization.
- Attempt to interfere with the security or operation of the Platform.
- Upload malicious software or harmful code.
- Reverse engineer, copy, or exploit the Platform except as permitted by law.
- Use the Platform for fraudulent or illegal purposes.
RPL TEK reserves the right to suspend or terminate accounts that violate these Terms.
5. Electronic Communications
By using the Platform, you consent to receive communications electronically, including email, in-app notifications, SMS messages (where consent has been provided), and other electronic communications regarding your account, security, billing, and Platform operations.
6. Electronic Records & Signatures
The Platform may create, store, and transmit electronic documents, inspection reports, tickets, invoices, delivery confirmations, photographs, and electronic signatures.
To the extent permitted by law, electronic signatures and records created through the Platform may satisfy applicable legal requirements under the Electronic Signatures in Global and National Commerce Act (E-SIGN Act), the Uniform Electronic Transactions Act (UETA), and other applicable laws governing electronic transactions.
7. GPS & Location Services
Certain Platform features utilize GPS and location data to support dispatching, fleet management, routing, asset tracking, and operational reporting.
By enabling these features, you acknowledge that authorized users within your organization may view vehicle and location information associated with your account.
You are responsible for obtaining any employee or contractor consents required by applicable law before enabling location tracking.
8. User Content
You retain ownership of the information, documents, photos, and other content you upload to the Platform.
By using the Platform, you grant RPL TEK a limited, non-exclusive license to store, process, transmit, display, and back up your content solely for the purpose of operating, maintaining, improving, and supporting the Platform.
You represent that you have the legal right to upload any content you submit.
9. Privacy
Your use of the Platform is also governed by the RPL TEK Privacy Policy.
RPL TEK uses commercially reasonable safeguards to protect customer information; however, no method of electronic storage or transmission can be guaranteed to be completely secure.
10. Third-Party Services
The Platform may integrate with third-party software or services, including mapping, payment processors, GPS providers, accounting software, or other business applications.
RPL TEK is not responsible for the availability, security, or functionality of third-party services. Your use of those services is governed by their own terms and policies.
11. Intellectual Property
The Platform, including its software, design, source code, trademarks, logos, workflows, and related technology, is owned by or licensed to RPL TEK and is protected by applicable intellectual property laws.
Except as expressly permitted, you may not copy, modify, distribute, or create derivative works from the Platform.
12. Availability of Service
RPL TEK strives to provide reliable service but does not guarantee uninterrupted or error-free operation.
The Platform may occasionally be unavailable due to maintenance, updates, equipment failures, internet outages, or events beyond our reasonable control.
13. Disclaimer of Warranties
The Platform is provided on an "AS IS" and "AS AVAILABLE" basis.
To the fullest extent permitted by law, RPL TEK disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability.
14. Limitation of Liability
To the fullest extent permitted by law, RPL TEK shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, business opportunities, contracts, goodwill, or data arising from or related to the use of the Platform.
RPL TEK's total liability for any claim relating to the Platform shall not exceed the amount paid by you to RPL TEK for use of the Platform during the twelve (12) months immediately preceding the claim.
15. Indemnification
You agree to defend, indemnify, and hold harmless RPL TEK, its owners, employees, affiliates, officers, and agents from any claims, liabilities, damages, losses, and expenses arising out of:
- Your use of the Platform.
- Your violation of these Terms.
- Your violation of applicable laws.
- Content you upload or submit.
- Your business operations or transportation activities.
16. Suspension & Termination
RPL TEK may suspend or terminate your access to the Platform if you:
- Violate these Terms.
- Engage in fraudulent or unlawful conduct.
- Fail to pay applicable fees.
- Threaten the security or integrity of the Platform.
You may discontinue using the Platform at any time.
17. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law principles.
Any legal action arising under these Terms shall be brought in the state or federal courts located within the Commonwealth of Virginia.
18. Changes to These Terms
RPL TEK may modify these Terms from time to time. Updated versions will be posted on the Platform with a revised effective date.
Continued use of the Platform after changes become effective constitutes your acceptance of the revised Terms.
